1. ACCEPTANCE OF TERMS

Welcome to the PaperCut Partner Portal and Training Hub (together, the “Portal”), provided by PaperCut Software Pty Ltd and its affiliates ("PaperCut", “we”, “us”, or “our”).

By accessing, browsing, or using the Portal, you ("Partner", “Reseller”, “Manufacturer”, “Service Provider” or “you”) agree to be bound by these Terms of Use ("Terms"). If you are accessing the Portal on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms govern your use of the Portal and are in addition to, and do not replace, any existing agreement you may have with PaperCut in relation to your right to distribute and sell PaperCut products and services. In the event of a conflict regarding specific commercial terms (e.g., margins, territories), your separate license agreement with PaperCut or a Papercut partner will prevail.

2. PORTAL ACCESS AND SECURITY

2.1 Eligibility. Access to the Portal is restricted to authorized solution centres of PaperCut products, original equipment manufacturers, authorized PaperCut resellers, distributors, managed service providers, and any other person or entity that PaperCut provides access to.

2.2 Credentials. You are responsible for maintaining the confidentiality of your login credentials. You may not share your login details with individuals outside your organization. You agree to notify PaperCut immediately of any unauthorized use of your account.

2.3 Revocation. PaperCut reserves the right to suspend or revoke access to the Portal at any time, without notice, if we believe you have breached these Terms or if your status as an authorized partner changes.

2.4 Training Hub: the PaperCut Training Hub is powered by our learning partner, Absorb LMS (“Absorb”). By accessing and using the Training Hub you acknowledge and agree that Absorb, along with PaperCut, will process your personal data for the purposes of providing you access and use of the Training Hub and for such other purposes as per our Privacy Policy.

3. INTELLECTUAL PROPERTY AND LICENSE GRANTS

All content available on the Portal, including but not limited to text, graphics, logos, images, software, sales decks, technical documentation, and videos (collectively, the “Materials”), is the property of PaperCut or its licensors and is protected by copyright, trademark, and other intellectual property laws.

3.1 License to Use Marketing Materials

Subject to your compliance with these Terms, PaperCut grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, display, and distribute the materials specifically designated as “Marketing Assets” (e.g., brochures, logos, battle cards) solely for the purpose of

(a). Promoting, marketing, and selling PaperCut products to prospective end-users.

(b). Incorporating them into your own marketing collateral, provided such use complies with the PaperCut Brand Guidelines.

3.2 License to Use Training Materials

PaperCut grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use materials specifically designated as “Training Materials” (e.g., certification courses, technical manuals, sales playbooks) solely for the purpose of:

(a). Internal training and education of your employees and contractors.

(b). Supporting your authorized sale and technical support of PaperCut products.

You must NOT distribute Training Materials to end-users or the general public.

4. RESTRICTIONS ON USE

Except as expressly permitted above, you agree that you will not:

4.1 No Derivatives. Modify, adapt, translate, or create derivative works based on the Materials without prior written consent from PaperCut. (e.g., You may not alter a technical diagram to misrepresent product functionality).

4.2 No Resale. Sell, license, rent, or monetize the Materials themselves. Your right is to sell PaperCut Software, not Marketing Assets.

4.3 No Misrepresentation. Use the Materials in a way that suggests you are PaperCut (the manufacturer) rather than an authorized partner, or in any manner that is misleading, defamatory, or infringing.

4.4 AI and Generative Models. You are prohibited from using, uploading, feeding, or inputting any Materials (including but not limited to technical documentation, knowledge base articles, code snippets, marketing copy, and sales scripts) into any:

(a). Large Language Model (LLM);

(b). Generative AI Service (e.g., ChatGPT, Claude, Gemini, Copilot); or

(c). Machine Learning Algorithm that would have the effect of fine-tuning, or grounding such models.

This restriction applies regardless of whether the AI model is public, private, or locally hosted, unless you have obtained a specific, separate written license from PaperCut authorizing such use. PaperCut reserves the right to employ technical measures to detect and prevent unauthorized scraping or ingestion of Portal content.

5. CONFIDENTIALITY

Certain areas of the Portal may contain confidential information, including but not limited to:

  • Product roadmaps and beta features.
  • Wholesale price lists and margin structures.
  • Pre-release technical documentation.
  • Partner-only sales strategies.

You agree to hold all such Confidential Information in strict confidence and not to disclose it to any third party (other than your employees who have a need to know) without PaperCut’s prior written consent.

6. LEAD REGISTRATION AND CUSTOMER DATA

If you use the Portal to register leads or manage customer trials:

(a). You represent that you have obtained all necessary consents from the customer to share their Personal Data with PaperCut in accordance with these terms

(b). You acknowledge that PaperCut’s use of such data is governed by our Privacy Policy.

(c). Data Privacy Compliance. Any personal data collected, processed, or used by PaperCut through the Portal, including but not limited to your account details and any customer data you submit, will be handled in accordance with PaperCut’s Privacy Policy.

7. ORDERING AND FULFILLMENT

You acknowledge that while the Portal may facilitate the generation of quotes, license keys, or order requests, PaperCut Software acts solely as the platform provider for these transactions. All orders placed via the Portal are routed to and fulfilled by your designated Authorized Solution Center (ASC) or Authorized Partner. PaperCut is not the direct seller of record for such transactions. Your pricing, payment terms, and commercial conditions are governed exclusively by your separate agreement with your ASC or Authorized Partner, and not by these Terms.

8. PROMOTIONS AND INCENTIVES

PaperCut may, from time to time, offer promotions, contests, or incentive programs ("Promotions") for Resellers via the Portal. Participation in any such Promotion is voluntary.

You acknowledge and agree that:

(a). PaperCut Discretion: PaperCut reserves the right to modify, vary, suspend, or withdraw any Promotion at any time, for any reason, and at its sole discretion, without prior notice or liability.

(b). Terms: Specific terms and conditions may apply to individual Promotions, which will be made available at the time of the Promotion. In the event of any inconsistency between these Terms and the specific rules of a Promotion, the specific rules of the Promotion shall control.

(c). Eligibility: Eligibility for Promotions may be contingent upon your standing as a Partner, local laws and regulations relating to promotions and incentives in your territory, your use of the Portal or other criteria determined by PaperCut.

9. DISCLAIMER OF WARRANTIES

THE PORTAL AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PAPERCUT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, OR SUITABILITY OF THE MATERIALS. PAPERCUT DOES NOT WARRANT THAT THE PORTAL WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT THE PORTAL MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPERCUT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPERCUT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PORTAL OR MATERIALS, EVEN IF PAPERCUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU WILL INDEMNIFY PAPERCUT FOR ANY LOSS PAPERCUT SUFFERS AS A RESULT OF OR ARISING OUT OF YOUR USE OR ACCESS TO THE PORTAL AND MATERIALS.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located within Victoria, Australia, for the resolution of any disputes arising out of or relating to these Terms or your use of the Portal.

12. CHANGES TO TERMS

PaperCut reserves the right to modify these Terms at any time. We will provide notice of significant changes via the Portal or email. Your continued use of the Portal following such changes constitutes your acceptance of the revised Terms.
